Terms of Service

1. Service Description

These Terms of Service ("Terms") govern your access to and use of the Deal Catcher AI Agent ("the Service"), a product developed and operated by Arcane AI ("we", "us", "our"), a software agency based in Dubai, UAE.

The Service is an AI-powered software agent that:

• Connects to official government company registries to retrieve publicly available financial and corporate records
• Applies a deterministic financial distress scoring model to identify companies exhibiting financial stress indicators
• Generates AI-assisted outreach draft messages based on the retrieved company data
• Delivers a formatted deal report to the client's configured email address on a daily schedule

The Service is intended for professional use by private equity investors, search fund operators, acquisition entrepreneurs, and similar sophisticated commercial parties. It is not a consumer product.

2. Subscription Billing

By subscribing to the Service, you authorise Arcane AI to charge your designated payment method the monthly subscription fee. All fees are stated in US Dollars and are exclusive of applicable taxes, which remain your responsibility.

Invoices are issued at the start of each billing cycle. Payment is due within 7 days of invoice date. In the event of non-payment, Arcane AI reserves the right to suspend or terminate your access to the Service.

3. Cancellation Policy

You may cancel your subscription at any time. There are no long-term contracts and no minimum commitment periods.

To cancel, notify us by email at hello@arcane-ai.com with at least 30 days written notice prior to the start of the next billing cycle. If notice is received with fewer than 30 days before renewal, the next billing cycle will be charged and service will continue through that period.

Upon cancellation, your access to the Service will be terminated at the end of the current paid period. Arcane AI does not issue prorated refunds for partial billing periods.

4. No Guarantee of Results

The Service provides data, analysis, and suggestions — it does not provide financial, legal, or investment advice. The output of the Deal Catcher AI Agent is intended to assist your own independent research and decision-making process, not to replace it.

Arcane AI makes no representations or warranties, express or implied, regarding:

• The accuracy, completeness, or timeliness of data retrieved from third-party company registries
• The suitability of any identified company as an acquisition target
• The commercial outcome of any outreach or acquisition process initiated as a result of using the Service
• The uninterrupted availability of third-party data sources (including government company registries and their APIs)

All investment and acquisition decisions are made solely at your own discretion and risk. Past output characteristics of the Service do not guarantee future performance.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Arcane AI and its principals, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to:

• Loss of revenue, profits, or business opportunity
• Errors or omissions in data sourced from third-party registries
• Service interruptions or delays due to third-party API unavailability
• Any acquisition decisions or commercial outcomes based on Service output

In no event shall Arcane AI's total aggregate liability to you exceed the total fees paid by you in the three (3) calendar months immediately preceding the event giving rise to the claim.

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

6. Modifications to These Terms

Arcane AI reserves the right to update these Terms at any time. We will notify active subscribers of material changes via email with a minimum of 14 days notice before the revised Terms take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
